Managed Sites, LLC – Terms of Service

Welcome to Managed Sites! We are delighted to provide our services to Managed Service Providers (MSPs) for hosting their customers’ websites. By accessing and using our services, you agree to be bound by the following Terms of Service. Please read them carefully.
Definitions
1.1 “Managed Sites” refers to Managed Sites, LLC, a company registered under the laws of [State/Country].
1.2 “MSP” refers to Managed Service Providers partnering with Managed Sites for website hosting services.
1.3 “Customer” refers to the end customers of the MSP who have their websites hosted by Managed Sites.
1.4 “Services” refer to the website hosting and related services provided by Managed Sites to MSPs and their Customers.
Account Creation and Use
2.1 To use our Services, MSPs must create an account with Managed Sites. You agree to provide accurate and complete information during the account registration process.
2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3 You agree not to use the Services for any illegal, unauthorized, or unethical purposes.
MSP Responsibilities
3.1 MSPs shall be responsible for managing their Customers’ accounts, content, and websites. This includes but is not limited to website development, content updates, and customer support.
3.2 MSPs must ensure that their Customers’ content complies with all applicable laws and regulations, including copyright and intellectual property rights.
3.3 MSPs are responsible for securing and protecting their Customers’ data. Managed Sites shall not be held liable for any data breaches or unauthorized access caused by MSPs’ negligence or improper security practices.
Managed Sites Responsibilities
4.1 Managed Sites will provide the necessary infrastructure and technology to host MSPs’ and their Customers’ websites.
4.2 Managed Sites will make reasonable efforts to maintain the security and stability of its hosting environment.
4.3 Managed Sites will provide technical support related to website hosting issues to MSPs, who will then assist their Customers with any necessary support.
Payment and Billing
5.1 MSPs shall pay the fees for the Services based on the pricing and billing terms agreed upon between Managed Sites and the MSP.
5.2 Managed Sites reserves the right to change the pricing for the Services upon providing advance notice to the MSP.
5.3 Payment for the Services shall be made in a timely manner as per the agreed-upon billing cycle.
Termination
6.1 Either party may terminate the agreement at any time by providing written notice to the other party.
6.2 Upon termination, MSPs must migrate their Customers’ websites and data to another hosting provider within the timeframe specified by Managed Sites.
6.3 Managed Sites reserves the right to terminate the agreement and suspend access to the Services immediately in case of any violation of these Terms of Service.
Limitation of Liability
7.1 Managed Sites shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the Services.
7.2 Managed Sites’ liability to MSPs or their Customers for any claim shall not exceed the fees paid by the MSP for the Services during the three (3) months preceding the claim.
Governing Law and Dispute Resolution
8.1 These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflicts of laws principles.
8.2 Any dispute arising out of or in connection with these Terms of Service shall be resolved through good faith negotiations between the parties. If no resolution is reached, the parties agree to submit the dispute to binding arbitration in Oklahoma City, Oklahoma, in accordance with the rules of the American Arbitration Association (AAA). The language of the arbitration shall be English.
Modifications to the Terms
9.1 Managed Sites reserves the right to update or modify these Terms of Service from time to time. Any changes will be effective upon posting the revised Terms on our website.
9.2 MSPs are responsible for regularly reviewing the Terms of Service. Continued use of the Services after any changes signify acceptance of the revised Terms.
By using Managed Sites’ Services, MSPs agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, please do not use our Services.
